The One IPO to Rule Them All

Palantir exterior

The eye of Sauron will turn toward Lower Manhattan today as Palantir goes public on the NYSE. It’s expected to be valued at around $22 billion, the WSJ reported last week.

What’s Palantir? Either a software company that works with government agencies or a defense contractor in Allbirds, depending on how you look at it.

  • Palantir guzzles up surveillance data on things like troop movements, IED attacks, and Covid-19 cases and presents it to users in a super-slick interface.
  • Those users are almost all government employees at agencies such as the NSA, the CIA, and the Department of Health and Human Services.

Cofounder and CEO Alex Karp says he’s not like other tech founders—he’s been critical of what he calls a liberal “monoculture” in Silicon Valley...so he left. Palantir moved from Palo Alto to Denver last month.

The bull case: Palantir found its spot in the government contract biz by way of a marketing strategy that is no less creative for the feathers it ruffled: offering free services to soldiers, then letting word travel up the chain of command. It keeps those contracts flowing with close ties to the Trump administration via cofounder and famed venture capitalist Peter Thiel.

The bear case: Palantir is 17 years old and still isn’t profitable. Plus, it’s reportedly losing favor in the intelligence and national security communities, and its plans to branch out into police and private-sector partnerships have mostly flopped.

We may be in for some chaos

Both Palantir and workplace management tool Asana are listing directly on the NYSE today, meaning they won’t actually raise money from going public.

Because they cut out investment banks’ underwriting fees, direct listings are an increasingly popular method. Spotify hit the markets via direct listing back in 2018, and Slack did the same last year. The option has its benefits, but can cause volatility since it takes a while to settle on a price.

Tuesday Night SmackDown: POTUS Edition

CLEVELAND, OHIO - SEPTEMBER 29: U.S. President Donald Trump speaks duri...

Pool/Getty Images

Last night, President Trump and former VP Joe Biden squared off in the first presidential debate, a pared-down event with a mini audience, no handshakes, and countless interruptions from the president. It was chaotic.

What they said (about business)

Covid-19: Trump claimed the U.S. is “weeks away from a vaccine” and pharma companies could move faster, but politics are slowing things down. Biden accused Trump of going against the scientists in his administration who have laid out a longer timeline.

Recovery: “You can’t fix the economy until you fix the Covid crisis,” Biden said, adding that Trump is not taking appropriate measures to stop the outbreak. Biden also expressed concerns about a “K-shaped” recovery in which top earners recover while working-class families are left behind.

Taxes: Under Biden’s economic plan, Trump argued higher corporate taxes would push businesses to leave the country, causing “a depression of the likes you’ve never seen.”

  • On personal taxes...following the bombshell NYT report on Trump’s tax returns, Biden and his running mate Kamala Harris released their 2019 tax returns hours before the debate. Biden and his wife, Jill, paid close to $300,000 in federal taxes on $945,000 in taxable income last year.

The big non-business news: Trump refused to categorically denounce white supremacy when asked to by moderator Chris Wallace.

WORKFORCE

Disney Serves Up Opening Sequence Vibes

Disney castle

Francis Scialabba

Yesterday, Disney said it’s laying off 28,000 workers across the parks, experiences, and products division, according to a letter circulated by the company’s head of parks to employees. Just over two-thirds of those layoffs will affect part-time workers.

You probably don’t need three guesses why. The Covid-19 pandemic has turned Disneyland in Anaheim into the saddest place on Earth. Last week, execs pleaded with the state of California to reopen the park, which has been shut since March.

  • Many of Disney’s other parks, including Walt Disney World in Florida and locations in Hong Kong, Paris, Tokyo, and Shanghai, have reopened. But reduced crowds and extra health precautions have dented profitability.

Big picture: Disney’s trying to stop the bleeding. The parks, experiences, and products division accounted for 37% of the company’s total sales in 2019, but the pandemic dropped the segment’s revenue 85% annually last quarter.

A New Way to Profit in the $64B/Year Art Market

Here’s the thing: The average multi-millionaire doesn’t just put their money in stocks…they invest in valuable assets, like art.

Need proof? There’s a whopping $1.7 trillion in art held by the ultra-wealthy—and analysts are predicting that the art market will break out, big time. In fact, blue-chip art has outperformed the S&P by 180% from 2000–2018, according to data.

You don’t have to be a hedge fund guru to see the opportunity here. It’s enormous.

So it’s no secret that many consider art to be one of the most lucrative and safe investments (especially now). But the truth is, big-time investments require big-time checkbooks—Masterworks says otherwise. Featured in NYT, CNN, and Forbes, they’ve made investing in all-star caliber artists like Banksy and Kaws possible (and potentially profitable).

JPMorgan Spoofs Investors

JPMorgan

"Jamie Dimon, CEO of JPMorgan Chase" (CC BY 2.0) by jurvetson

We wish this were about Jamie Dimon making his SNL debut on Saturday but, alas, we'll settle for some Oscar-worthy corporate conniving. Yesterday, the Commodity Futures Trading Commission announced a mammoth $920 million settlement with America's largest bank for manipulating markets via "spoofing."

The crime: Over eight years, JPMorgan traders manipulated prices in global commodities markets by placing tens of thousands of orders for precious metals and Treasuries...only to cancel them later. The bank profited while other traders lost $300+ million.

  • A trio of government agencies dug into the spoofing allegations, including the DOJ, which used a 1970s-era racketeering and corruption law typically used to pursue the Mafia.

The time: To understand just how big JPMorgan's penalty is...in the last six years, financial institutions have collectively paid over $1 billion for spoofing cases. JPMorgan admitted to messing up and, as part of a deferred prosecution, will cooperate with the feds to prove it's cleaning up its act.

+ While we're here: Bloomberg takes you inside the corporate drama that unraveled the criminal racketeering conspiracy and took down one of JPMorgan's star executives.

RETAIL

Can You Guys Please Stop Biting Me?—The Dust

Professional services firm BDO released a new report on this year's retail bankruptcies, liquidations, and store closings. Some highlights lowlights:

  • Through June, 18 retailers filed for Chapter 11 bankruptcy protection. Most are sellers of apparel, footwear, and home furnishings.
  • At this point in the year, we've already surpassed last year's total retail bankruptcies. By the end of 2020, we could even outpace 2010's crush of filings (48).

Big picture: This is yet another example of the Covid-19 pandemic speeding up trends that were chugging along before. E-commerce was changing the retail game before the coronavirus showed up; now e-commerce is the game.

  • Retail foot traffic is at about 20% of pre-Covid levels, former Morgan Stanley senior retail analyst Walter Loeb estimates

Looking ahead...expect more bankruptcies in Q4, though some struggling retailers may ride the holiday season life raft to 2021. But that's also when the bill comes due for 2020 rent deferrals.

+  Not sure how Chapter 7 differs from Chapter 11? We put together a guide on all things bankruptcy.

AppHarvest's greenhouse

AppHarvest

AppHarvest, a farming startup that grows fruits and veggies in high-tech greenhouses, revealed yesterday it's going public at a valuation of $1 billion.

In some ways, AppHarvest is conforming to all the 2020 startup trends:

  • It's going public via a blank-check company, aka a SPAC.
  • It doesn't generate any revenue yet.
  • Its name is two unrelated words smashed together.

In other ways, AppHarvest is unique. For instance, it's based in Morehead, KY, which is at least three plane flights away from Silicon Valley and in one of the poorest congressional districts, per Axios.

  • Investors include former AOL CEO Steve Case's Rise of the Rest Seed Fund, which invests in startups outside of the traditional hotspots, and J.D. Vance, author of Hillbilly Elegy.

Looking ahead...AppHarvest isn't just going public for the Brew story. It needs to raise cash to follow through on its ambitious plans, like building the world's largest greenhouse later this year.

WHAT ELSE IS BREWING

  • New York City's daily positive Covid-19 rate jumped to its highest level in months the same day 300,000 students returned to school in-person and one day before limited indoor dining resumes (that's today).
  • Google is reportedly close to winning EU approval for its $2.1 billion acquisition of Fitbit.
  • The Tennessee Titans and Minnesota Vikings shut down their facilities after eight Titans staff and players tested positive for Covid-19.
  • Amazon installed new palm recognition tech in two of its Seattle stores.
  • David Attenborough is crushing it on social media.
